Action for declaratory judgment commenced by the plaintiff, Lien O. Simenstad on March 29, 1962. The complaint alleged that on November 14, 1947, the parties owned a majority of the issued and outstanding shares of stock
in the Bank of Osceola, and entered into a written contract whereby each agreed not to sell his stock without first granting
an option to the others to purchase said stock. It further alleged that the defendants granted an option to persons who were
not parties to the contract without first giving plaintiff Simenstad the first option to purchase the stock, although plaintiff
had made a demand upon defendants to offer their stock to him and had tendered the purchase price in accordance with the terms
of the contract. The complaint prayed for declaratory relief adjudging that the contract is valid and binding; that the defendants
have breached its terms; that defendants be required to offer their stock to the plaintiff; and that defendants be permanently
enjoined from disposing of their shares until such time as they offer to sell them to the plaintiff.
